1. Definitions

• “Company”, “we”, “us” or “our” refers to Invict International, its affiliates and assigns.
• “Customer”, “you” or “your” means any person or entity placing an order with the Company.
• “Products” means decor items, including but not limited to brass, ceramic, glass and other home‑decor articles, offered for sale and export by the Company.

2. Acceptance of Terms

By placing an order with us, you agree to be bound by these Terms & Conditions. No additional or contrary terms proposed by you shall apply unless expressly agreed in writing by an authorized representative of the Company.

3. Products and Specifications

3.1 All product descriptions, images and specifications are intended to be as accurate as possible. Slight variations in color, finish or size may occur.

3.2 We reserve the right to modify or discontinue any Product without notice; however, we will not unreasonably affect your confirmed orders.

4. Orders and Acceptance

4.1 All orders are subject to acceptance by the Company. We reserve the right to refuse or cancel any order for any reason, including but not limited to product unavailability or export restrictions.

4.2 A binding contract is formed only when we issue an order confirmation in writing or by email.

5. Pricing and Payment

5.1 Prices are quoted in USD (or other agreed currency) and exclude taxes, duties, shipping and insurance charges, unless otherwise stated.

5.2 Payment terms are:

• Advance payment (“pre‑payment”) for new Customers;
• Net 30 days from invoice date for approved accounts.

5.3 Late payments may incur interest at 1.5% per month on the outstanding balance.

6. Delivery, Shipping & Risk

6.1 Delivery dates are estimates only. We shall not be liable for any delays.

6.2 Title and risk of loss pass to you upon delivery to the carrier at our warehouse (Incoterm: FCA).

6.3 You are responsible for all shipping costs, export/import duties, insurance and customs clearance.

7. Export Compliance

7.1 You agree to comply with all applicable export laws and regulations of India, the destination country, and any third-country jurisdictions.

7.2 You shall not export, re‑export or transfer Products in violation of any export control or embargo laws.

8. Warranty & Returns

8.1 We warrant that Products will be free from material defects for 30 days from delivery.

8.2 To make a warranty claim, you must notify us in writing within the warranty period, provide reasonable evidence of the defect, and, where requested, return the Product at your expense.

8.3 This warranty does not cover damage due to misuse, neglect, improper handling, or normal wear and tear.

9. Limitation of Liability

Except for death or personal injury caused by our negligence or fraudulent misrepresentation, our aggregate liability shall not exceed the total amount paid by you for the applicable order. We will not be liable for any indirect, incidental or consequential losses.

10. Intellectual Property

All trademarks, trade names, designs, images and other intellectual property rights in the Products and related marketing materials remain our exclusive property.

11. Force Majeure

We shall not be liable for failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemics, strikes, or government actions.

12. Governing Law & Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any dispute arising hereunder shall be finally settled by arbitration in Mumbai under the rules of the Indian Arbitration and Conciliation Act, 1996.

13. Amendments

We reserve the right to amend these Terms & Conditions at any time. The version posted on our website at the time an order is placed shall apply.
